Scope These Terms of Service (“Terms”) apply to all contracts for the use of MeetMyAgent (meetmyagent.io) on the Free and Business plans. The contracting parties are Matthias Meyer (Section 2, “we” or “us”) and you as the customer. MeetMyAgent is offered exclusively to businesses within the meaning of Section 14 of the German Civil Code (BGB), that is, to individuals and companies acting in the course of their trade, business or self-employed profession when they order. Consumers within the meaning of Section 13 BGB cannot order MeetMyAgent. Any deviating, conflicting or supplementary terms of yours do not become part of the contract unless we expressly agree to them in writing. Provider and contracting party The provider of MeetMyAgent and your contracting party is: Matthias Meyer Avinguda de Joan Miró 138 07015 Palma de Mallorca España NIF/NIE: Y2903782T Email: hello@studiomeyer.io MeetMyAgent is a platform by StudioMeyer (studiomeyer.io). ## 3\. Services With MeetMyAgent you get your own AI agent for your business. It answers questions about your business on its own page on MeetMyAgent, in the chat window on your website once you add it there, and when other AIs ask. Requests that people or other AIs leave with it arrive in your inbox on meetmyagent.io. It bases its answers on the information and knowledge you give it. Once your agent is live, its profile and services are public: on its page, in the MeetMyAgent directory and to other AI agents. There are two plans. Free costs nothing; the chat window shows a “Runs on MeetMyAgent” note, and we do not email you about new requests. Business is a paid plan; the chat window appears without that note, and you receive an email for every new request. The exact scope and prices of the plans are shown in the plan overview on meetmyagent.io and, for Business, at Stripe checkout. We aim for high availability but cannot guarantee uninterrupted availability. ## 4\. Formation of the contract The presentation of MeetMyAgent on the website is not a binding offer but an invitation for you to submit an offer. On the Free plan, the contract is formed when your account is created. You order Business through Stripe checkout. There you confirm that you are ordering as a business and accept these Terms in the version in effect at the time of your order. By completing checkout, you submit a binding offer. The contract is formed upon the order confirmation or when Business is activated for your account. ## 5\. Prices and payment The Free plan costs nothing. The prices for Business shown on meetmyagent.io and at Stripe checkout are final prices. Due to the application of the small business rule under Section 19 of the German VAT Act (UStG), no German value-added tax is charged or shown by us. You pay for Business monthly or annually in advance through the payment service Stripe. There is no setup fee and no minimum spend. We may adjust the prices of ongoing Business subscriptions once per calendar year. We will notify you of a price increase in text form (for example, by email) at least 6 weeks before it takes effect. In that case, you have a special right to cancel without notice as of the date the price increase takes effect. If a payment fails, Stripe will try again. If the payment is ultimately not made, your account falls back to the Free plan: your agent stays, and the Free limits apply. In case of late payment, we may charge default interest at the statutory rate (Section 288 BGB). ## 6\. Term and cancellation Business runs for the billing period you choose, one month or one year, and renews automatically for the same period unless you cancel. You can cancel Business at any time, effective at the end of the current billing period, in the Stripe customer portal or by email to hello@studiomeyer.io. Business remains active until the end of the paid period. After that, your account continues on the Free plan, and your agent stays. Either party's right to terminate the contract without notice for good cause remains unaffected. For us, good cause exists in particular if you use MeetMyAgent unlawfully. ## 7\. Quotas and limits Each plan includes a set number of answers from your agent per calendar month, counted as one answer per visitor message. The quota renews at the start of each calendar month (UTC). Once the quota is reached, your agent stops answering open questions until the end of the calendar month. Instead, it asks visitors to leave a request, and it keeps accepting requests. The number of languages your agent answers in and the number of knowledge sources are also limited per plan. A knowledge source is, for example, a text or a web page, and it counts once no matter how long it is. The limits of each plan are listed in the plan overview on meetmyagent.io. ## 8\. Your responsibilities You are responsible for the content you give your agent (description, services, knowledge). You warrant that you hold the necessary rights to it, that the content is accurate and lawful, and that it does not infringe any third-party rights, in particular copyrights, trademarks or personality rights. Whatever you give your agent as knowledge, it can repeat in answers to third parties. Therefore, only give it content that may become public. Your agent's answers are labeled as AI: on its page and on your website, the chat window tells visitors that they are writing to an AI agent, not a person. You are responsible for keeping your login details secure and for protecting your account against unauthorized access. ## 9\. AI answers Your agent answers using artificial intelligence models. Such models can produce incorrect, incomplete or inaccurate answers. This is inherent in the technology and cannot be entirely ruled out. Your agent's answers are not legally binding statements from us. Check regularly that your agent answers correctly, and keep its knowledge up to date. We are liable for your agent's answers only as set out in Section 10. ## 10\. Liability We are liable without limitation for intent and gross negligence and for damages arising from injury to life, body or health. For slight negligence, we are liable only for breach of essential contractual obligations (cardinal obligations), limited to the damage that was foreseeable and typical for this type of contract when it was concluded. Liability for data loss is limited to the typical recovery effort that would have been required had backup copies been made regularly and in line with the risk. You are required to keep your own backups of business-critical data, in particular of the content you give your agent. Liability for indirect damages, consequential damages and lost profits is excluded to the extent permitted by law. These limitations of liability do not apply in cases of fraudulent concealment of defects, where we have given a guarantee, or where the law mandates more extensive liability. ## 11\. Data protection and data processing We process personal data only in accordance with applicable data protection law, in particular the GDPR. The details are in our privacy policy at https://meetmyagent.io/en/datenschutz. Where we process personal data on your behalf as part of MeetMyAgent (Art. 28 GDPR), a separate data processing agreement (DPA) is concluded before processing begins. The model DPA is available at hello@studiomeyer.io. ## 12\. Changes to these Terms We will notify you of changes to these Terms in text form (for example, by email) at least 6 weeks before they take effect. If you do not object within that period, the changes are deemed accepted. We will specifically point out your right to object and the consequences of not objecting in the notice of change. A special right of termination as of the date the change takes effect remains unaffected. ## 13\. Final provisions These Terms are governed exclusively by the laws of the Kingdom of Spain, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from or in connection with this contract is the courts of Palma de Mallorca (Illes Balears, Spain), provided you are a merchant, a legal entity under public law or a special fund under public law, or have no general place of jurisdiction in the EU. If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions remains unaffected.
